1. Who we are and acceptance of these Terms

These Terms and Conditions (“Terms”) govern your use of forgelabsusa.com (the “Site”) and every purchase you make from it. The Site is operated by Forge Labs, LLC, a Louisiana limited liability company doing business as Forge Labs (“Forge Labs,” “we,” “us”).

By using the Site, creating an account, or placing an order, you agree to these Terms, our Privacy Policy and our Refund & Returns Policy. If you do not agree, do not use the Site or purchase from us.

2. Eligibility and your representations

You may purchase only if you are at least 21 years old and legally able to enter a binding contract. Each time you place an order, you represent and warrant that:

  • you are purchasing for legitimate in vitro laboratory research, either as a qualified researcher or on behalf of a research organization;
  • you have the training, facilities and procedures to handle research chemicals safely;
  • you will not use, sell, give or administer any product to humans or animals;
  • your purchase, receipt, possession and use of the products are lawful where you are located and where the order is delivered;
  • the information you give us (name, address, email, phone, payment details) is accurate and your own.

We may ask for information confirming your research purpose or institutional affiliation, and may decline or cancel any order if you do not provide it.

3. Research Use Only

All products sold on the Site are research chemicals supplied strictly for in vitro laboratory research. They are not drugs, dietary supplements, cosmetics, foods or medical devices. They have not been evaluated or approved by the U.S. Food and Drug Administration for any use, and they are not intended to diagnose, treat, cure, mitigate or prevent any disease or condition.

Products are not for human or veterinary use, consumption, injection, inhalation, topical application or any other introduction into a human or animal body.

Nothing on the Site, in our emails, or from our staff is medical, dosing, preparation-for-administration or usage advice, and you must not rely on it as such. We will not answer questions about using any product in humans or animals; asking them may result in cancellation of your order and closure of your account.

Product names, including abbreviated or coded names, identify research materials only and do not imply any approved use or equivalence to an approved drug product.

4. Prohibited uses; our right to refuse or cancel

You may not:

  • resell, relabel, repackage or redistribute products for human or animal use, or as supplements, cosmetics or drugs;
  • purchase on behalf of anyone who intends such use;
  • post reviews, comments or messages on our Site or social channels that describe human or animal use, dosing or results;
  • use the Site for any unlawful purpose, to commit fraud, or with stolen or unauthorized payment details.

We may refuse, cancel or limit any order, or close any account, at our sole discretion, including where we suspect a violation of these Terms, a pricing or listing error, fraud, or a delivery address we cannot serve. If we cancel an order you have paid for, we will refund the amount paid for the cancelled items.

5. Products, descriptions and documentation

We try to describe products accurately, including name, stated quantity and form. Product images are illustrative; the vial, cap, label layout and fill appearance you receive may differ.

Where a Certificate of Analysis (COA) or other batch documentation is available for a product, it reflects testing of that batch as reported by the manufacturer or testing laboratory. We do not independently verify those results, and documentation may not be available for every product or batch.

Product availability and stock levels can change without notice. If an item becomes unavailable after you order, we will contact you to offer a delay, a substitute (only with your agreement) or a refund for that item.

6. Orders, pricing, taxes and payment

Order acceptance. Your order is an offer to buy. A confirmation email means we received it, not that we accepted it. We accept an order when we confirm payment and release it for fulfillment.

Prices. Prices are in U.S. dollars and may change at any time before we accept your order. If a product is listed at an incorrect price because of an error, we may cancel the order and refund you, even after confirmation.

Shipping charges and taxes. Shipping is charged at checkout as shown. You are responsible for applicable sales or use taxes, which we collect where required by law.

Payment. Payments are processed by our third-party payment processor, Biotech Processing, through its secure checkout page. We do not receive or store your full card or bank details. Available methods are shown at checkout and currently include [Zelle and/or credit/debit card]. For Zelle, include the memo code shown at checkout; your order ships only after the payment is matched and confirmed. Unpaid orders may be cancelled after 72 hours.

Chargebacks. If you dispute a charge without first contacting us, we may suspend your account while the dispute is resolved.

7. Shipping and delivery

Orders are packed and shipped by our fulfillment partner, typically by UPS 2nd Day Air, usually within [1–2] business days after payment is confirmed. Delivery times are estimates, not guarantees.

We ship only to street addresses in the 50 United States and the District of Columbia. We do not ship to P.O. boxes, APO/FPO/DPO addresses, U.S. territories or addresses outside the United States, and checkout will not accept them.

You are responsible for entering a complete and accurate address. Reshipment caused by an incorrect or undeliverable address will be charged to you.

Title and risk of loss pass to you when the package is handed to the carrier. Tracking information is emailed when the order ships. If a package shows as delivered but you did not receive it, contact us within 48 hours and we will help you open a claim with the carrier.

8. Cancellations, returns and refunds

The full rules are in our Refund & Returns Policy. In summary:

  • Cancellations: email us right away. Orders usually ship the same or next business day, and an order cannot be cancelled once a shipping label has been created.
  • No returns of research materials. For safety and integrity reasons, we do not accept returns of products once shipped, opened or unopened, except as below.
  • Damaged, wrong or missing items: report them within 48 hours of delivery with your order number and photos of the package and items. If we confirm the problem, we will send a replacement or refund the affected items, at our choice. Do not send anything back unless we ask you to.
  • Refunds go to the original payment method and timing depends on the payment provider.

9. Compliance with laws

You are solely responsible for knowing and following all federal, state and local laws, regulations and institutional rules that apply to your purchase, receipt, storage, handling, use and disposal of the products. Some products may be restricted in some jurisdictions; it is your responsibility to confirm that delivery to your address is lawful before ordering.

We may cooperate with law enforcement or regulators and share order information where we believe in good faith that the law requires it or that a product is being misused.

10. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY AGAINST REDHIBITORY DEFECTS OR VICES UNDER LOUISIANA CIVIL CODE ARTICLES 2520 THROUGH 2548, WHICH YOU EXPRESSLY WAIVE.

We do not warrant that any product is suitable for any particular research, that documentation is complete or error-free, or that the Site will be uninterrupted or free of errors.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FORGE LABS AND ITS OWNERS, MEMBERS, EMPLOYEES, SUPPLIERS AND FULFILLMENT AND PAYMENT PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR RESEARCH RESULTS, ARISING FROM THE SITE OR ANY PRODUCT.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO AN ORDER IS LIMITED TO THE AMOUNT YOU PAID FOR THAT ORDER.

We are not liable for any injury, illness or loss resulting from use of a product contrary to these Terms, including any human or animal use. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or gross fault.

12. Indemnification

You agree to defend, indemnify and hold harmless Forge Labs and its owners, members, employees, suppliers and partners from any claims, losses, damages, fines, penalties, costs and reasonable attorneys’ fees arising from (a) your breach of these Terms or of any representation you made, (b) your purchase, handling, storage, use, resale or disposal of any product, including any human or animal use, or (c) your violation of any law or the rights of any third party.

13. Accounts, Site use and intellectual property

You are responsible for keeping your account login secure and for all activity under your account. Tell us promptly at info@forgelabsusa.com if you suspect unauthorized use.

You may not scrape, copy, frame or misuse the Site, attempt to access it without authorization, or interfere with its operation.

The Forge Labs name, logo, label designs, product images, text and Site design belong to us or our licensors. You may not use them without our written permission. Third-party names and marks mentioned on the Site belong to their owners.

14. Privacy

Our Privacy Policy explains what we collect and how we use it. To fulfill your order, we share your name, shipping address, email and phone number with our fulfillment partner and shipping carrier, and your payment information is handled by our payment processor. We do not sell your personal information.

15. Governing law and disputes

These Terms are governed by the laws of the State of Louisiana and applicable U.S. federal law, without regard to conflict-of-law rules.

Before filing any claim, you agree to contact us at info@forgelabsusa.com and give us 30 days to try to resolve it informally.

Any dispute that is not resolved informally will be brought exclusively in the state courts located in St. Bernard Parish, Louisiana, or the U.S. District Court for the Eastern District of Louisiana, and you consent to personal jurisdiction there. Claims must be brought individually, not as a plaintiff or class member in any class or representative action, to the extent permitted by law.

Counsel note: consider whether to add binding individual arbitration with a class-action waiver instead of court venue.

16. General

Changes. We may update these Terms by posting a new version on this page with a new effective date. The version in effect when you place an order applies to that order.

Severability. If any provision is found unenforceable, the rest remain in effect and the provision is enforced to the maximum extent allowed.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not transfer your rights under these Terms. We may assign them in connection with a sale or reorganization of our business.

Entire agreement. These Terms, the Privacy Policy and the Refund & Returns Policy are the entire agreement between you and Forge Labs about the Site and your purchases.

All Forge Labs products are strictly intended for laboratory research use only and are not intended for human or veterinary use.
